(1) LICENSE FEES
Each Licensed Product shall fall into the Standard Pricing category, unless another category applies as set forth herein.
(A) Initial Fee: $6,500.
(B) Minimum Annual Royalty: A minimum yearly amount of License Fees, to be paid by Licensee to License Administrator upon the anniversary date of the execution of this Agreement, in accordance with the amounts stipulated hereunder. Such Minimum Annual Royalty shall only be in relation to the previous twelve (12) months, and any un-generated fraction thereof may not be transferred to or counted against a subsequent or previous year's Sales. Such amount shall be $10,000, excluding the Initial Fee in year 1 of the Agreement.
(C) Maximum Annual Royalty: A maximum amount of License Fees per year per pricing category. The Maximum Annual Royalty is dependent on markets and applications. Please contact VoiceAge for further information.

(1) Category applies to Licensed Products where Real-Time Channels can be counted, including but not limited to VoIP gateways. This category excludes all downloaded applications and IP phones. Please contact VoiceAge for further information.
(2) Counting of the Cumulative Real-Time Channel Volume will not be reset annually and the Maximum Annual Royalty will apply annually.
(3) If the exact number of Real-Time Channels in a Licensed Product can vary, then the maximum number of Real-Time Channels that can be handled by the product will be used for royalty calculation. If the maximum number of Real-Time Channels has not been determined, then the Licensed Product is deemed to have 10,000 Real-Time Channels.
(4) All upgrades to Licensed Products which add Real-Time Channels to such Licensed Products shall be subject to reporting and License Fees.
